The differences are: The new iPad has 1)The new A5X chip, which will allow you to view retina display(High resolution image/text) or, to run high graphic Apps, 2) The back iSight camera of 5MP, 3) Better Connectivity through 4G plus Bluetooth 4.0 technology.
Otherwise, iPad 2 has almost the same A5 chip of same processor speed except the graphics one. And the back camera can shoot only 720p, which is much inferior to that of new iPad. The structural design of both are the same.
So if someone is not very concerned with retina display and shooting video with 5MP camera at rear, there is no point to replace iPad 2 with 3rd generation iPad, which is not quite a major upgrade.
Like there were major differences between iPad 1 and iPad 2, cause iPad 2 was quite faster, lighter and equipped with two essential cameras.
